CorePower Yoga Buddy Pass Program Terms & Conditions (Updated as of May 21, 2024)

The CorePower Yoga Buddy Pass Program (the “Program”) is a program of CorePower Yoga, LLC. The Program provides buddy passes to eligible CorePower Yoga members so that those members can provide friends and family with the opportunity to participate with the member in eligible CorePower Yoga classes at participating CorePower Yoga studios. The Program and all activities related to the Program are subject to these CorePower Yoga Buddy Pass Program Terms and Conditions (these “Program Terms & Conditions), and the CorePower Yoga Student Terms & Conditions (the “Student Terms & Conditions”). By participating in the Program, you agree to these Program Terms & Conditions (including as such are updated or modified from time to time). If you do not agree to these Program Terms and Conditions, please do not participate in the Program.

Member Eligibility

The Program is open only to CorePower Yoga members in the Discounted First Month All Access Program, All Access Program, Founding All Access Program, Studio Pass Unlimited Program, and Student/Military/First Responder/Senior/Teacher/Medical/Company Partner All Access Program, whose membership is in good standing, and not subject to any freeze or cancellation by the member, or any suspension, termination or other action by CorePower Yoga.

Buddy Passes Generally

A buddy pass in the Program (a “Buddy Pass”) allows an eligible Buddy Pass transferee (referred to as a “buddy” in these Program Terms & Conditions) to practice along with the member who provided the Buddy Pass at a participating CorePower Yoga studio in one (1) eligible CorePower Yoga in-studio class at no cost for the class itself (additional studio charges may apply for non-included items (e.g., mat rentals)) during the period in which the Buddy Pass is valid. Classes are subject to availability and must be reserved and used as described below. A Buddy Pass (including the class for which it is used) is valid only during the transferring member’s one (1) month membership period for which a Buddy Pass is issued as described below (a “Buddy Pass Period”), subject to earlier termination as described in these Program Terms & Conditions. A Buddy Pass must be transferred, accepted and used during the Buddy Pass Period for such Buddy Pass or it will automatically terminate. Buddy Passes do not accumulate month to month. There is a limit of one (1) eligible CorePower Yoga in-studio class per Buddy Pass. Buddy Passes have no monetary value, are not redeemable for cash, credit or any substitute. Buddy Passes cannot be combined with any other offer, coupon or promotion, or applied to a prior purchase.

Issuance and Availability of Buddy Passes

Each month, on the billing date for a member’s applicable monthly membership fee, CorePower Yoga will deliver two (2) Buddy Passes to an eligible member’s CorePower Yoga membership account. CorePower Yoga may change the number of monthly Buddy Passes and/or add additional Buddy Pass(es) issued to all or any portion of eligible member’s accounts as CorePower Yoga in its discretion determines; all such Buddy Pass(es) shall be subject to these Program Terms and Conditions. Transferring a Buddy Pass; Limits and Restrictions

After delivery of a Buddy Pass to your CorePower Yoga membership account, you may participate in the Program by transferring the Buddy Pass to anyone you want to (subject to the buddy’s five (5) total Buddy Pass lifetime limitation described below). Sign in to your membership account and follow the instructions to transfer a Buddy Pass, including providing all required information (including a valid email address for your buddy) so we may invite your buddy to accept the Buddy Pass. CorePower Yoga shall have no liability of any kind or nature to you or your intended buddy whatsoever related to any failure related to the transfer (or attempted transfer) of a Buddy Pass, regardless of any fault by CorePower Yoga, any third party or any system. Participation in the Program is voluntary, and you have no obligation to participate in the Program or transfer any Buddy Passes.

By transferring a Buddy Pass and providing your buddy’s information, you are also confirming that you have secured permission from your buddy to provide the required information, including your buddy’s email and contact information. If you do not have your buddy’s express permission to provide their information, do not transfer a Buddy Pass to that person.

Buddy Passes are non-transferrable after the original transfer by an eligible member who was originally issued the Buddy Pass by CorePower Yoga, and any attempted further transfer shall be void. A person may be the transferee of a maximum total of five (5) Buddy Passes in their lifetime in the Program, regardless of the dates or number of transferring member(s) who have made a transfer of a Buddy Pass to an individual transferee. You may transfer your Buddy Passes to one or any number of persons, subject to the foregoing limitation. You can only bring one buddy to a class. It is a violation of these Program Terms & Conditions for Buddy Pass transferring members and/or buddies to (a) obtain (or attempt to obtain) additional Buddy Passes for a buddy beyond the limit stated above by using multiple/different email addresses, or identities, registrations and logins, or any other method, or (b) monetize (or attempt to monetize) or create (or attempt to create) a market of any kind for Buddy Passes, and any such Buddy Passes issued in connection with any such activities are subject to termination by CorePower Yoga; the transferring member and/or buddy, as applicable, shall be in breach of these Program Terms & Conditions, and CorePower Yoga reserves the right to take such action as it determines with respect to such person, and their CorePower Yoga membership, if any, and account, including without limitation, termination of such membership and/or account.

Accepting a Buddy Pass

A buddy will receive an email from CorePower Yoga inviting the buddy to accept the Buddy Pass invitation and use the Buddy Pass, with instructions regarding acceptance and use of the Buddy Pass. A buddy must follow the links and instructions in the Buddy Pass email to create a CorePower Yoga account if the buddy does not have a CorePower Yoga account (as a member or otherwise), and complete the transfer of the Buddy Pass to the buddy’s account. Regardless of whether a buddy has an existing CorePower Yoga account or not, the buddy must acknowledge and agree to the CorePower Yoga Student Terms & Conditions, including, without limitation, these Program Terms & Conditions, in order to complete a transfer of the Buddy Pass to the buddy’s account. CorePower Yoga will not inform a transferring member whether an invitation has been successfully accepted or not by a buddy.

Using a Buddy Pass

To use a Buddy Pass, a buddy must have the member who transferred the Buddy Pass make an online reservation for both the member and the buddy of an eligible in-studio class at a participating location, in each case, subject to class availability. If there is unavailability in a desired class, a member cannot waitlist a buddy for a class. Additional studio charges may apply for non-included items (e.g., mat rentals, paid workshops or themed/special classes that are not free to members, etc.) which must be paid by a member or buddy in advance of participation. Classes are personal to a buddy, and are not assignable or transferrable. Classes are subject to restrictions, which may vary from time, including, without limitation, restrictions on use based on the type of class or location/studio at which a class occurs.

CorePower Yoga studios maintain a minimum cancellation policy for class reservations (currently two (2) hours prior to class start, which policy may be subject to change in the future); if you have questions about a studio’s cancellation policy, contact the applicable studio at the contact information for the studio located at https://www.corepoweryoga.com/yoga-studio/all-locations.

Class reservations may be cancelled by the member who reserved the class or by the member’s buddy as follows:

If cancellation by a member is outside the applicable studio’s cancellation time period (i.e., it is late), the class reservation will be cancelled for both the member and the buddy, the applicable Buddy Pass will be void and will not be reissued, and there will be no cancellation fee.
If cancellation by a member is within the applicable studio’s cancellation time period, the class reservation will be cancelled for both the member and the buddy, the applicable Buddy Pass will be reinstated to the transferring member’s CorePower Yoga account, and there will be no cancellation fee.
If cancellation by a buddy is outside the applicable studio’s cancellation time period (i.e., it is late), the class reservation will be cancelled for the buddy only, the applicable Buddy Pass will be void and will not be reissued, and there will be no cancellation fee.
If cancellation by a buddy is within the applicable studio’s cancellation time period, the class reservation will be cancelled for the buddy only, the applicable Buddy Pass will be reinstated to the transferring member’s CorePower Yoga account, and there will be no cancellation fee.

Termination of Buddy Passes

In addition to the other termination circumstances described in these Program Terms & Conditions, (a) all of a member’s Buddy Passes, whether or not accepted by a buddy (including, without limitation, any reservations made using a Buddy Pass) will be automatically terminated (unless such termination is waived by CorePower Yoga in its sole discretion, which may be on a case by case basis), without further notice to the transferring member or any buddy, if the member to whom a Buddy Pass was originally issued cancels or freezes their membership, or if CorePower Yoga terminates or takes any adverse action with respect to such transferring member’s membership or CorePower Yoga account, (b) a buddy’s Buddy Pass will be automatically terminated (unless such termination is waived by CorePower Yoga in is sole discretion) if CorePower Yoga terminates or takes any adverse action with respect to a buddy’s CorePower Yoga membership (if applicable) or account, or (c) CorePower Yoga, in its sole discretion, terminates the Program.

These Program Terms & Conditions May Change

We may change these Program Terms & Conditions; change, add, or eliminate eligible membership categories, Program benefits, or participating locations; or change or end the Program or any feature of the Program; in whole or in part, at any time, and without notice or compensation, even though such actions may affect benefits in the Program or your or your buddy’s participation in the Program.

CorePower Yoga reserves the right to modify or add to these Program Terms & Conditions at any time, effective as of the posting of the new or revised Program Terms & Conditions or a later date as may be specified in the new or revised Program Terms & Conditions. Members and buddies agree that we may notify them of the new or revised Program Terms & Conditions by making them available at https://corepoweryoga.com, and that participation in the Program (as a member or buddy) after the effective date of the new or revised Program Terms & Conditions (or engaging in such other conduct as we may reasonably specify) constitutes agreement to the new or revised Student Terms & Conditions. We therefore encourage members and buddies to review these Program Terms & Conditions every time an individual participates in the Program. We may also provide notice of any update to these Program Terms & Conditions in other ways in our discretion, such as through contact information provided by a CorePower Yoga account holder, all in accordance with applicable laws and our Privacy Policy.

Compliance with CorePower Yoga Rules and Directions

By participating in the Program, whether as a member or buddy, a member and buddy agrees to observe all rules and directions of CorePower Yoga and the locations (in-person, online or otherwise) at which any activities take place. We reserve the right to take any action that we deem appropriate in the exercise of our discretion, including but not limited to suspension or termination of privilege to participate in such activities, for violation of CorePower rules and directions.

Interpretation

CorePower Yoga reserves the right to interpret and apply these Program Terms & Conditions. All determinations by CorePower Yoga shall be final and conclusive in each case. Our failure to enforce any term of these Program Terms & Conditions shall not constitute a waiver of that provision or any other provision of these Program Terms & Conditions.
